Throughout these Terms, references to "TechRhombus", "we", "our", or "us" refer to the concern operating the SutraLipi platform.

- "Platform" means the SutraLipi website, software applications, services, APIs, interfaces, infrastructure, trading tools, backtesting systems, replay systems, market data services, and all related technologies operated by TechRhombus.
- "User" means any individual, entity, organization, or person accessing or using the Platform.
- "Account" means a registered user profile created to access Platform services.
- "Subscription" means a paid or unpaid service plan made available through the Platform.
- "Strategy" means any script, algorithm, indicator, formula, code, trading logic, parameter configuration, model, automation rule, or related content created, uploaded, executed, stored, or utilized by a User.
- "Market Data" means historical, live, delayed, tick-level, aggregated, derived, processed, or other market information made available through the Platform.
- "Paper Trading" means simulated trading activity that does not result in actual market orders being transmitted to an exchange.
- "Live Trading" means trading activity involving actual brokerage accounts and real market orders.
- "Broker" means any third-party brokerage service integrated with or connected to the Platform.
- "Exchange" means any securities exchange, derivatives exchange, commodity exchange, or trading venue.
3. ACCEPTANCE OF TERMS
3.1
By creating an Account, purchasing a Subscription, accessing the Platform, connecting a brokerage account, executing a Strategy, or otherwise using any Platform functionality, the User agrees to be legally bound by these Terms.
3.2
These Terms constitute a legally binding agreement between the User and TechRhombus.
3.3
Continued use of the Platform after modifications to these Terms constitutes acceptance of the revised Terms.
4. ELIGIBILITY
4.1
Users must possess the legal capacity required to enter into binding agreements under applicable law.
4.2
Individuals under eighteen (18) years of age may utilize educational, analytical, simulation, replay, and paper-trading features under appropriate parental or guardian supervision.
4.3
Live Trading functionality, brokerage integrations, automated order execution, and paid Subscription services may only be utilized by persons legally authorized to operate brokerage accounts and enter into legally binding agreements.
4.4
Users are solely responsible for ensuring compliance with all applicable laws, regulations, exchange requirements, broker requirements, and tax obligations.
4.5
Access to the Platform may be restricted in certain jurisdictions. Users are responsible for determining whether use of the Platform is lawful in their jurisdiction.
5. ACCOUNT REGISTRATION
5.1
Certain Platform features require creation of an Account.
5.2
Users agree to provide accurate, current, complete, and truthful information during registration.
5.3
Users are responsible for maintaining the confidentiality of their login credentials.
5.4
Users shall be solely responsible for all activities occurring under their Account.
5.5
Users must immediately notify TechRhombus of any suspected unauthorized access, security breach, or compromise of Account credentials.
5.6
TechRhombus reserves the right to refuse registration, suspend Accounts, restrict access, or terminate Accounts where inaccurate information, misuse, fraud, security concerns, or violations of these Terms are suspected.
6. PLATFORM SERVICES
6.1
SutraLipi provides technology services that may include:
- Strategy development.
- Algorithm creation.
- Script execution.
- Custom indicators.
- Market data analysis.
- Historical market data access.
- Tick-level market data access where available.
- Backtesting.
- Market replay.
- Paper trading.
- Live trading functionality.
- Broker integrations.
- Automated order execution.
- Performance analysis.
- Related analytical and automation tools.
6.2
The specific features available to a User may vary depending upon Subscription plan, licensing restrictions, market availability, technical limitations, and other factors.
6.3
TechRhombus reserves the right to add, modify, restrict, suspend, discontinue, or replace any Platform feature at its discretion.
7. TECHNOLOGY PROVIDER STATUS
7.1
TechRhombus operates SutraLipi solely as a technology platform.
7.2
TechRhombus is not acting as:
- A stock broker.
- A sub-broker.
- An investment adviser.
- A portfolio manager.
- A research analyst.
- A wealth manager.
- A financial planner.
- A dealer.
- A custodian.
Unless expressly stated otherwise and authorized under applicable law.
7.3
Nothing available through the Platform constitutes investment advice, financial advice, tax advice, legal advice, or a recommendation to buy, sell, or hold any financial instrument.
7.4
Users remain solely responsible for all investment decisions, trading decisions, strategy decisions, and financial outcomes resulting from use of the Platform.
8. SUBSCRIPTIONS
8.1 Subscription Plans
Access to certain Platform features may require the purchase of a Subscription.
- Monthly subscriptions;
- Annual subscriptions;
- Trial plans;
- Promotional plans;
- Educational plans;
- Enterprise plans; and
- Other subscription offerings as determined by TechRhombus.
8.2 Subscription Features
Subscription benefits may include access to:
- Historical market data
- Tick-level market data where available
- Backtesting functionality
- Market replay functionality
- Paper trading
- Live trading integrations
- Broker connectivity
- Automated execution capabilities
- Strategy storage
- Platform resources
- Other Platform services
8.3 Subscription Changes
TechRhombus reserves the right to:
- Modify subscription pricing.
- Modify subscription features.
- Introduce new subscription plans.
- Discontinue subscription plans.
- Change Platform limitations.
9. BILLING AND PAYMENTS
9.1 Payment Processing
Payments made through the Platform may be processed by authorized third-party payment providers, including Razorpay.
By purchasing a Subscription, the User authorizes the applicable payment processor to collect and process payments associated with the selected plan.
9.2 Recurring Billing
Certain Subscription plans may renew automatically.
Where automatic renewal is enabled, the User authorizes recurring charges according to the selected billing cycle unless cancelled before renewal.
9.3 Payment Responsibility
Users are responsible for:
- Maintaining valid payment methods.
- Ensuring sufficient payment authorization.
- Keeping billing information current.
- Paying all applicable fees and taxes.
9.4 Failed Payments
If payment cannot be successfully processed, TechRhombus may:
- Suspend Subscription benefits.

10. TAXES AND GST

Subscription fees may be subject to:

11. REFUND POLICY

Except where required by applicable law, all payments made to TechRhombus are non-refundable.

Refunds shall not be provided for:

- Failure to cancel before renewal.

Cancellation shall prevent future billing but shall not result in a refund of fees already paid.

Nothing in these Terms shall limit rights that may be provided under applicable consumer protection laws.

12.2 Subscription-Based Access
Historical data access is determined by the Subscription selected by the User.
Different plans may provide access to different historical date ranges, instruments, exchanges, and datasets.
12.3 Visibility of Data Coverage
Historical data coverage available under each Subscription plan may be displayed through the Platform.
By purchasing a Subscription, the User acknowledges responsibility for reviewing and understanding the historical data coverage applicable to the selected plan.
12.4 Changes to Historical Data Availability
TechRhombus reserves the right to:
- Expand historical data coverage.
- Restrict historical data coverage.
- Modify historical datasets.
- Replace data sources.
- Discontinue specific datasets.
Such changes shall be subject to licensing, technical, operational, and business considerations.
13. MARKET DATA SOURCES

Market Data made available through the Platform may originate from:

17. STRATEGY OWNERSHIP

Users retain all ownership rights, title, and interest in and to their:

- Algorithms.
- Scripts.
- Indicators.
- Trading logic.
- Custom functions.
- Configurations.
- Parameters.
- Related intellectual property.
Created, uploaded, or developed through the Platform.
17.2 No Transfer of Ownership
Nothing in these Terms shall be interpreted as transferring ownership of User-created Strategies or related intellectual property to TechRhombus.
17.3 User Responsibility
Users are solely responsible for:
- The content of their Strategies.
- Strategy behavior.
- Strategy logic.
- Trading decisions generated by Strategies.
- Compliance with applicable laws and regulations.
17.4 Intellectual Property Rights
Users represent and warrant that they possess all necessary rights to create, upload, execute, store, and utilize their Strategies through the Platform.
Users shall not upload content that infringes:
- Copyrights.
- Patents.
- Trade secrets.
- Trademarks.
- Proprietary rights.
- Other intellectual property rights of third parties.
18. PRIVACY OF USER STRATEGIES
18.1 Private Strategy Environment
Unless expressly authorized by the User, private Strategies are intended to remain inaccessible to other Users of the Platform.
18.2 No Public Marketplace
At the time of publication of these Terms, the Platform does not provide a public marketplace for sharing, selling, licensing, distributing, or publishing private user Strategies.
18.3 Future Features
TechRhombus may introduce future functionality relating to:
- Strategy sharing.
- Strategy marketplaces.
- Indicator publishing.
- Commercial licensing.
- Community contributions.
- Social trading features.
Any such functionality shall be governed by additional terms published at the relevant time.
18.4 Confidentiality Measures
TechRhombus shall take commercially reasonable measures to restrict access to private Strategies to authorized personnel with a legitimate operational, technical, support, security, or legal need.
19. LICENSE GRANTED TO TECHRHOMBUS
19.1 Operational License
To enable operation of the Platform, Users grant TechRhombus a limited, non-exclusive, revocable, worldwide license to:
- Store Strategies.
- Process Strategies.
- Compile Strategies.
- Interpret Strategies.
- Execute Strategies.
- Analyze execution logs.
- Create backups.
- Display Strategy information to the User.
- Provide Platform functionality.
- Maintain operational integrity.
19.2 No Commercial Exploitation
Except as expressly permitted by these Terms, TechRhombus shall not sell, distribute, publish, license, or commercially exploit private user Strategies.
19.3 Support and Troubleshooting
Where a User requests:
- Technical assistance.
- Troubleshooting.
- Educational guidance.
- Code review.
- Optimization assistance.
- Bug investigation.
- Support services.
The User authorizes TechRhombus personnel to access and analyze relevant Strategies solely for providing the requested assistance.
19.4 Anonymized Analytical Use
TechRhombus may utilize anonymized and aggregated information derived from Platform usage for:
- Platform improvement.
- Performance analysis.
- Security monitoring.
- Research.
- Educational examples.
- Statistical reporting.
Provided such usage does not disclose a User's private Strategy or personally identifiable information.
20. PLATFORM INTELLECTUAL PROPERTY
20.1 Ownership
The Platform and all associated intellectual property rights are owned by TechRhombus and/or its licensors.
20.2 Protected Components
Protected materials include:
- Platform software.
- User interfaces.
- APIs.
- Runtime systems.
- Compilers.
- Execution engines.
- Backtesting engines.
- Replay engines.
- Documentation.
- Branding.
- Logos.
- Designs.
- Architecture.
- Source code.
- Databases.
- Proprietary technologies.
20.3 Limited License
Users receive only a limited, revocable, non-transferable right to access and use the Platform in accordance with these Terms.
20.4 Restrictions
Users shall not:
- Copy Platform source code.
- Reverse engineer Platform components.
- Decompile Platform software.
- Circumvent licensing controls.
- Replicate Platform functionality.
- Create competing services using proprietary Platform technology.
21. LIVE TRADING SERVICES

The Platform may permit Users to connect supported brokerage accounts and deploy Strategies for live market participation.
21.2 User-Controlled Trading
All live trading activity initiated through the Platform is undertaken solely at the User's direction and risk.
21.3 User Responsibility
Users remain solely responsible for:
- Strategy deployment.
- Position sizing.
- Capital allocation.
- Order management.
- Risk controls.
- Broker configuration.
- Regulatory compliance.
21.4 No Trading Recommendations
The Platform does not recommend:
- Securities.
- Derivatives.
- Commodities.
- Trading strategies.
- Investment decisions.
21.5 No Monitoring Obligation
TechRhombus has no obligation to:
- Monitor user Strategies.
- Validate strategy logic.
- Approve trading decisions.
- Prevent losses.
- Intervene in user trading activity.
22. AUTOMATED EXECUTION RISKS
22.1 Automated Orders
Strategies deployed through the Platform may generate automated orders based on User-defined logic.
22.2 User Acknowledgement
Users acknowledge that automated trading systems may produce:
- Unexpected trades.
- Excessive trades.
- Duplicate trades.
- Unintended positions.
- Rapid losses.
- Strategy malfunctions.
- Execution anomalies.
22.3 Emergency Controls
Users are responsible for maintaining appropriate controls including:

TechRhombus shall not be liable for losses arising from:

Brokerage accounts are maintained directly between the User and the relevant Broker.
TechRhombus is not a party to brokerage agreements.

23.4 No Execution Guarantee
TechRhombus does not guarantee:
- Order acceptance.

- Order cancellation.

- Fill quality.

23.5 Broker Outages
Users acknowledge that broker outages, API failures, maintenance activities, and technical disruptions may affect trading activity.
24. USER RESPONSIBILITIES

Users are solely responsible for reviewing, validating, testing, understanding, and monitoring their Strategies.
24.2 Due Diligence
Before deploying any Strategy, Users should evaluate:

- Position sizing.

24.3 Regulatory Compliance
Users remain solely responsible for compliance with:
- Applicable laws.
- Exchange regulations.
- Broker requirements.
- Tax obligations.

- Use strong passwords.
- Prevent unauthorized access.
25. ACCEPTABLE USE POLICY

- Interfere with Platform performance.
- Disrupt Platform operations.
26.2 Security Monitoring
TechRhombus may implement security monitoring, logging, auditing, and protective measures to preserve Platform integrity.
26.3 Cooperation
Users agree to cooperate with reasonable investigations relating to:

27. RISK ACKNOWLEDGEMENT

Users acknowledge that trading and investing in financial markets involve substantial risk and may result in partial or complete loss of capital.

Neither TechRhombus nor SutraLipi guarantees:
- Profits.
- Successful trades.
- Positive returns.
- Capital preservation.
- Achievement of investment objectives.
- Any specific trading outcome.
27.3 User Responsibility
All trading decisions, investment decisions, risk management decisions, and resulting financial outcomes remain solely the responsibility of the User.
28. BACKTESTING, SIMULATION AND REPLAY DISCLAIMER

SutraLipi utilizes historical market data, including tick-level data where available, to facilitate:

- Backtesting.
- Replay.
- Simulation.
- Paper trading.

TechRhombus endeavors to provide realistic analytical and simulation environments using available historical market information.
28.3 External Market Factors
Users acknowledge that live market participation may involve factors that are not always reproducible within historical simulation environments, including:
- Brokerage execution behavior.
- Exchange-side processing.
- Order queue positioning.
- Market liquidity conditions.
- Slippage.
- Partial fills.
- Rejected orders.
- Connectivity interruptions.
- Regulatory actions.

- Infrastructure failures.
- Other external market conditions.

Backtesting, replay, optimization, simulation, and paper-trading results are intended as analytical tools and should not be interpreted as guarantees of:

Users acknowledge that exchanges, brokers, regulators, and data providers may issue:

30. DISCLAIMER OF WARRANTIES

TechRhombus does not guarantee that:

TechRhombus makes no warranty regarding the performance of third-party services.
31. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the aggregate liability of TechRhombus arising out of or relating to the Platform, these Terms, or the use of Platform services shall not exceed the total Subscription fees paid by the User during the twelve (12) months immediately preceding the event giving rise to the claim.
31.4 Exclusive Remedy
The remedies expressly provided under these Terms shall constitute the User's exclusive remedies.
32. INDEMNIFICATION
32.1 User Indemnity
Users agree to defend, indemnify, and hold harmless TechRhombus and its proprietors, employees, contractors, agents, licensors, service providers, and affiliates from and against any claims, liabilities, damages, losses, judgments, settlements, costs, and expenses arising out of:
- User conduct.
- User Strategies.
- Trading activity.
- Brokerage activity.
- Violations of law.
- Violations of these Terms.
- Infringement of third-party rights.
32.2 Costs Covered
Indemnification obligations include reasonable legal fees, professional fees, investigation costs, and enforcement costs.
33. SUSPENSION AND TERMINATION
33.1 Immediate Suspension Rights
TechRhombus may suspend, restrict, disable, or terminate any Account immediately and without prior notice.
33.2 Grounds for Action
Grounds may include:
- Violation of these Terms.
- Fraud.
- Payment disputes.
- Security threats.
- Unauthorized access.
- Reverse engineering.
- Data extraction.
- Malicious activity.
- Regulatory concerns.
- Abuse of Platform resources.
33.3 Preservation of Rights
Suspension or termination shall not affect rights or obligations accrued prior to such action.
33.4 Investigation Rights
TechRhombus reserves the right to investigate suspected violations and cooperate with regulators, law enforcement agencies, exchanges, brokers, and other authorities where legally required.
34. FORCE MAJEURE
34.1 Events Beyond Control
TechRhombus shall not be liable for delays, interruptions, failures, performance degradation, service outages, data loss, or trading disruptions caused by events beyond its reasonable control.

- BSE outages.

- API failures.
- Market data provider failures.
- Internet disruptions.
- Telecommunications failures.

- Natural disasters.
- Floods.
- Earthquakes.
- Fires.
- Pandemics.
- Government actions.
- Regulatory restrictions.
- Civil unrest.
- Labor disputes.

34.3 Suspension of Obligations
Affected obligations shall be suspended for the duration of the relevant force majeure event.
35. MODIFICATIONS TO TERMS

TechRhombus reserves the right to modify these Terms at any time.
35.2 Effective Date
Updated Terms shall become effective upon publication through the Platform or other reasonable means of notice.
35.3 Continued Use
Continued use of the Platform after publication of revised Terms constitutes acceptance of the revised Terms.
36. ELECTRONIC COMMUNICATIONS
36.1 Electronic Notices
Users consent to receive notices, disclosures, agreements, invoices, updates, and communications electronically.
36.2 Valid Communication Methods
Communications may be provided through:
- Email.
- Platform notifications.
- Website notices.
- Account dashboards.
- Other electronic means.
37. SEVERABILITY
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
38. WAIVER
Failure by TechRhombus to enforce any provision of these Terms shall not constitute a waiver of any rights.
39. ASSIGNMENT
Users may not assign or transfer rights under these Terms without prior written consent from TechRhombus.
TechRhombus may assign or transfer its rights and obligations under these Terms as part of a merger, acquisition, restructuring, sale of assets, or other business transaction.
40. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Risk Disclosure Statement, Refund & Cancellation Policy, Disclaimer, and any other applicable policies published by TechRhombus, constitute the entire agreement between the User and TechRhombus relating to the Platform.
41. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of India.
42. JURISDICTION
Subject to applicable law, the courts located in Surat, Gujarat shall have exclusive jurisdiction over disputes arising out of or relating to:
- The Platform.
- These Terms.
- Subscription services.
- Market Data access.
- Trading functionality.
- Related services.
